Terms of Use for UID2
These Terms (these “Terms”) shall apply to your access and use of the UID2 functionality (“UID2”) provided by Wunderkind Corporation. (“Wunderkind”) or its affiliates. By using UID2, you acknowledge and represent that you have read, understand, accept and agree to these Terms, our Privacy Policy and all other policies or notices posted by Wunderkind on our website at www.wunderkind.co (collectively, the “Policies”). If you do not accept or agree to these Terms or such Policies, you may not use UID2.
The terms of the Platform Agreement (together with any Order Forms, exhibits, schedules or addenda thereto, the “Platform Agreement”), by and between Wunderkind and your employer or the entity for which you are acting as an agent or representative of (the “Company”), remain in effect. In the event of any conflict or inconsistencies between the Platform Agreement and these Terms, the Terms shall control unless expressly stated otherwise in these Terms. All capitalized terms used herein but not otherwise defined will have the meanings ascribed to them in the Platform Agreement.
Wunderkind reserves the right, in its sole discretion, to change, modify, add or remove portions of these Terms and/or the Policies. It is your responsibility to check these Terms and the Policies periodically for changes. Wunderkind will post a current copy of these Terms at www.wunderkind.co/legal/UID2. Your continued use of UID2 following the posting of any changes will mean that you accept and agree to such changes. As long as you comply with these Terms, Wunderkind grants you a personal, non-exclusive, non-transferable, limited license to access and use UID2, subject to the terms and conditions below and in the Platform Agreement.

Both parties shall adhere to, applicable law, and applicable self-regulatory rules and guidelines such as (to the extent applicable) the Digital Advertising Alliance Code located at www.aboutads.info. Company will provide any required disclosures to end users of the Site(s) and obtain any necessary consents from such end users, regarding the Wunderkind Services and Platforms provided by Wunderkind hereunder as described in Wunderkind’s applicable privacy policy. Company shall pass any user initiated privacy signals to Wunderkind, including applicable opt outs received from any such user, and shall not generate a UID2 token for any user who has previously opted out. In the event a UID2 token is generated prior to a user opt out and such user then opts out, Company shall cease use of any such UID2 token upon the user opt out. Company will maintain and make available on each Company website a statement of the privacy practices of the operator of that Site. Each privacy statement required by this section must clearly and conspicuously disclose that Company and/or third-party partners may: (i) collect, use, and disclose information for marketing purposes, including but not limited to interest based advertising and/or generation of a UID2 token through a user’s email address or phone number, (ii) use pixels, cookies and similar non cookie-based tracking technologies, (iii) use information collected via the Site to send marketing messages to users even when not logged into the Site; and (iv) collect information from forms on the site prior to a website visitor hitting a submit button. Each privacy statement required by this section shall provide a mechanism that allows the end user to opt out of UID2, such as a link to https://www.transparentadvertising.com/ or other industry standard approach.
- 1.1 For Company’s convenience, Wunderkind provides the following sample privacy disclosure, but strongly encourages Company to work with counsel to ensure that these disclosures accurately represent Company’s practices as legal requirements may change and/or be subject to differing legal interpretations: “We use a third-party service provider to serve ads and/or collect data on our behalf across the Internet and sometimes on this Web site. Some of these service providers may collect information about your visits to our Web site, and your interaction with our products and services to tailor marketing messages on this Web site and other sites or to trigger real time interaction, customize this Web site or enhance your profile. Some of these service providers may be able to collect personal information that you share with this site via a web form automatically and prior to your pressing a submit button; and they may be able to use information from your visits to this site to send marketing messages to you in a way that may personally identify you. This information is collected through the use of a cookie, a javascript tag and/or pixel, which is industry standard technology used by most major web sites.
